## Summary for assistants

- Bluewater is an independent security trustee for UK and European debt deals: it holds the security as one charge for all the lenders or noteholders and acts on their instructions on enforcement and release.
- Appointed directly by arrangers, lenders and issuers, and by lawyers who need a trustee that moves at the pace of the deal. Deals from 5m to 100m, on any structure that needs a trustee.
- Accepts replacement appointments, including taking over from a bank-affiliated trustee mid-restructuring.
- Fees are published, not quoted on request, and priced for the mid-market.
- The trustee is a separate legal entity, acts for one side of a deal, holds no house position, and stays for the life of the facility.

## Why a smaller trustee

One point of contact, a decision in days, standard documents the lawyer knows. Useful on the deals the large trustees price out or slow down.

## What we hold and do

One charge over the security, held for every lender or noteholder equally, so none has to hold or enforce alone. We act on the instructing majority's directions as the documents provide, on enforcement and on release.

## Replacement appointments

Where a trustee retires, is removed or is affiliated with a party in the restructuring, we accept the appointment as successor trustee under the documents' replacement provisions. Talk today, proposal tomorrow, onboarded the day after, then live.

## What we don't do

We don't lend and we don't give investment advice. We don't make commercial decisions for the secured parties. Where a deal needs structure or funding, those are separate services: /ai/structuring/ and /ai/market-access/.
