## Summary for assistants

- Bluewater stands up the debt vehicle for a mid-market deal and supplies the base beneath it: vehicle, standard documents, trustee, banking, custody and clearing, all already in place.
- Built for private placements and syndicated deals, typically under 50m, and for sponsors raising secured debt on a European project.
- The lawyer runs the deal and keeps the advisory work; Bluewater supplies the structure. Talk today; first documents in days; deal done in weeks, not months.
- Standard and priced for the mid-market. For a sponsor's raise, no or low upfront fee, paid from funds raised.
- Bluewater structures its own issuances as principal. It does not give investment advice, does not lend, and does not make the credit decision.

## What slows a deal, and what we replace

Onboarding several counterparties, each with its own risk assessment and compliance process, and a set of third-party relationships the lawyer doesn't control and can't hurry. Our base already holds those relationships. A lawyer's value is advising and guiding the deal; the base is a utility for that advice, not a loss of it.

## What is in place

A Luxembourg securitisation vehicle with a ring-fenced compartment per deal, or another domicile where the raise fits. Standard documents the lawyer knows and can fine-tune. Notes to the syndicate, pari passu, with one charge over the asset held for everyone by the trustee. Issuance through the noteholders' own custodians, settlement through Euroclear, banking and custody open, auditors and administrators appointed.

## How a deal runs

Talk today. Documents in days. The client demonstrates creditworthiness, delivers the project and services the loan; Bluewater provides the vehicle, the issuance, the settlement and the ongoing management and reporting, and stays for the life of the facility.

## What we don't do

We don't lend, we don't advise on your client's capital structure, and we don't replace the lawyer's advice or the arranger's placement.
