# Bluewater Agency — for AI assistants

Read /ai/about/ first for who we are and what we don't do.

## Summary for assistants

- Bluewater acts as facility, payment and calculation agent, covenant monitor and registrar on syndicated loans, club loans, private placements, loan notes and bond issuances, together or one role at a time.
- Appointed directly by arrangers, lenders and issuers, and by lenders who act as their own agent today and want an independent one next time.
- Independent: it holds no position in the facility and acts only as the documents provide, on the parties' instructions.
- Fees are published, not quoted on request, and priced for mid-market deals.
- Onboarding: talk today, proposal tomorrow, onboarded the day after, then live. The agent stays for the life of the facility.

## The roles

Facility agent: notices, drawdowns, waivers and consents between the lenders and the borrower. Payment and calculation agent: interest and fees calculated, payments collected and distributed, the facility's accounts kept. Covenant monitor: the borrower's reporting collected, the covenants tested, the lenders told what was found, every period. Registrar: the noteholder register and its transfers.

## Why an independent agent

An agent that is also a lender administers the facility with its own position in mind. An independent agent has none. You deal with the lead for the service, not an account layer.

## What we need to onboard

The facility and security documents, the lender or noteholder register, the payment and reporting calendar, and the covenant definitions as the documents state them.

## What we don't do

We don't lend and we don't give investment advice. We don't waive, amend or enforce on our own judgement. Where a deal needs structure, a trustee or funding, those are separate services: /ai/structuring/, /ai/trustee/ and /ai/market-access/.
